Terms of Service

EFFECTIVE: 01 MARCH 2025//VERSION: 1.0//JURISDICTION: SOUTH AFRICA//CURRENT

These Terms of Service govern your use of the SyntaxPath website and any consulting services provided by SyntaxPath (Pty) Ltd ("SyntaxPath", "we", "us", "our"), a company registered in accordance with the laws of the Republic of South Africa. Please read these Terms carefully before using our website or engaging our services.

Acceptance of Terms

By accessing or using the SyntaxPath website (www.syntaxpath.co.za) or engaging our consulting services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our website or services. These terms apply to all visitors, clients, and others who access or use our services.

Description of Services

SyntaxPath (Pty) Ltd provides technology consulting services including, but not limited to, software development, cloud architecture, DevSecOps, AI and data engineering, platform engineering, and fractional CTO engagements. The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or Master Service Agreement (MSA) agreed upon by both parties in writing.

Client Engagements

Proposals & Agreements

All engagements are formalised through a written proposal, SOW, or MSA signed by both parties. No verbal agreements are binding. SyntaxPath reserves the right to decline any engagement at its discretion.

Fees & Payment

Fees are outlined in the applicable SOW. Invoices are payable within 30 days of issue unless otherwise agreed. Late payments attract interest at the statutory rate. We reserve the right to suspend work on overdue accounts.

Intellectual Property

Upon full payment of all fees, client-commissioned deliverables (source code, designs, documentation) are assigned to the client. SyntaxPath retains ownership of pre-existing tools, frameworks, methodologies, and any general know-how developed independently of the engagement.

Confidentiality

Both parties agree to keep confidential any non-public information shared during an engagement. This obligation survives the termination of the engagement for a period of three (3) years.

Termination

Either party may terminate an engagement with 30 days written notice. The client remains liable for all work completed and costs incurred up to the termination date. SyntaxPath may terminate immediately in cases of material breach or non-payment.

You may use this website for lawful purposes only. You may not use it to transmit harmful, offensive, or illegal content, or attempt to gain unauthorised access to any part of the site or its systems.

Accuracy of Information

We make reasonable efforts to keep the information on this website accurate and up to date, but we do not warrant that all content is complete, current, or error-free. Content is provided for general information purposes only.

To the maximum extent permitted by applicable law, SyntaxPath shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including loss of profits, data, or business opportunities. Our total liability for any claim arising from a consulting engagement shall not exceed the fees paid by you for the specific engagement giving rise to the claim in the three (3) months preceding the claim.

Disclaimer of Warranties

Our website is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or harmful components. Consulting services are delivered on a reasonable-efforts basis and outcomes cannot be guaranteed due to the complex, variable nature of technology projects.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from these Terms or an engagement shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be referred to mediation before commencing litigation. The courts of Johannesburg, Gauteng shall have jurisdiction over any proceedings.

Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the processing of your personal information as described in that policy.

Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email to active clients or prominently on the website. The effective date at the top of this page will reflect the most recent revision. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
